J.M Smucker (SJM) agreed to buy the North American coffee and hot beverage divisions of Sara Lee (SLE) for $350 million and an additional $50 million over 10 years.

The Sara Lee coffee and tea brands will be added to Smucker’s distribution of Folgers, Dunkin Donuts, Café Bustelo, Carnation and Café Pilon brands. The 110-year-old company also sells fruit spreads, peanut butter, ice cream and Pillsbury bakery products.

Oracle (ORCL) agreed to buy RightNow Technologies (RNOW) for $43 a share, valuing the cloud technology company with a customer service specialty at $1.5 billion when counting its debt.

The deal is a boost to Oracle’s Public Cloud business, and it bolsters its presence in call center and social networking spaces.

At $43 a share, the purchase represents the highest price paid for RightNow, which went public in 2004. The Bozeman, Montana- based company founded in 1997 closed Friday trading at $35.96 a share and has gained 51.9% year to date.

Cigna (CI) agreed to acquire HealthSpring (HS) for $55 a share in cash, or $3.8 billion.

The transaction is expected to close during the first half of 2012 and isn’t subject to a financing condition, Cigna said Monday.

Mattel (MAT) said Monday it has agreed to buy HIT Entertainment, which owns preschool brands such as Thomas

Mattel is buying HIT from a consortium led by Apax Partners funds.

HIT has revenue of more than $180 million. HIT is one of the largest independent owners of preschool intellectual property.

The acquisition doesn’t include HIT’s interest in the cable network station, Sprout.

Mattel plans to finance the acquisition with a combination of cash and debt.

C.R. Bard (BCR) has agreed to acquire Medivance for $250,000,000. The transaction is expected to close by December 31, 2011.

PC-Tel (PCTI) acquired Envision Wireless for $1,450,000.

The Hain Celestial Group (HAIN) acquired Daniels Group for an undisclosed amount.

AMETEK (AME) acquired EM Test for $93,000,000.

Amerigroup (AGP) has agreed to acquire Health Plus for $85,000,000. The transaction is expected to close by June 30, 2012.

InnerWorkings (INWK) acquired Productions Graphics for an undisclosed amount.

Cardinal Health (CAH) has agreed to acquire Futuremed Healthcare Products (FMD.TO) for $160,000,000. The transaction is expected to close by March 31, 2012.

Quest Software (QSFT) acquired ChangeBASE for an undisclosed amount.

1st United Bancorp (FUBC) has agreed to acquire Anderen Financial for $37,000,000. The transaction is expected to close by June 30, 2012.

Arrowhead Research (ARWR) acquired RNA therapeutics assets from Roche for an undisclosed amount.

Molycorp (MCP) acquired 10% of Molycorp Silmet for $8,900,000.

Skilled Healthcare Group (SKH) acquired Cornerstone Hospice for an undisclosed amount.

First Bancorp (FBNC) has agreed to acquire Eleven Waccamaw Bank branches for $2,700,000. The transaction is expected to close by March 31, 2012.

Carriage Services (CSV) acquired Carman Funeral Home and Roberson Funeral Home for an undisclosed amount.

General Electric (GE) acquired 58% of Lightfoot Capital Partners for $85,000,000.

ShangPharma (SHP) acquired Charles River Laboratories International’s Shanghai research facility for an undisclosed amount.

Entergy (ETR) has agreed to acquire Rhode Island State Energy Center for $346,000,000. The transaction is expected to close by December 31, 2011.

Sony (SNE) acquired NetBlender for an undisclosed amount.

Kennedy Wilson (KW) has agreed to acquire a loan portfolio from Bank of Ireland for $1,800,000,000. The transaction is expected to close by November 30, 2011.

WuXi PharmaTech (WX) acquired MedKey Med-Tech Development Co. and Jiecheng Med-Tech Development Co. for an undisclosed amount.

Ocwen Financial (OCN) has agreed to acquire Saxon Mortgage Services for $59,300,000. The transaction is expected to close by March 31, 2012.

Kinder Morgan Energy Partners (KMP) has agreed to acquire SouthTex Treaters for $155,000,000. The transaction is expected to close by December 31, 2011.

Piedmont Community Bank Holdings has agreed to acquire 66% of Crescent Financial for $75,000,000. The transaction is expected to close by November 30, 2011.

Hyundai Capital acquired GE Capital Korea for $157,000,000.

Xianfu Han and Weili He has agreed to acquire China Advanced Construction Materials Group (CADC) for $47,064,000. The transaction is expected to close by March 31, 2012.

Cubist Pharmaceuticals (CBST) has agreed to acquire Adolor (ADLR) for $190,000,000. The transaction is expected to close by December 31, 2011.

KP Capital has offered to acquire (TUC) for $249,725,000.

Plains All American Pipeline (PAA) has offered to acquire SemGroup (SEMG) for $1,000,000,000.
